Welcome to Norventis. These Terms & Conditions (“Terms”) govern your use of our website and any services provided by Mikuno (“we”, “us”, “our”). By accessing our website or purchasing any of our services, you agree to these Terms.

1. About Mikuno

Mikuno provides business support services including but not limited to branding, startup support, marketing, operations support, staff resourcing, web/app development, social media management, and AI workflow automation.

2. Definitions

  • Client – any individual or organisation purchasing or enquiring about our services.

  • Services – any paid or free offering provided by Mikuno

  • Freelancer/Associate – specialists who may work on projects on behalf of Mikuno

3. Service Engagement

Before work begins, clients will receive:

  • A proposal or package outline

  • Pricing details

  • Timelines

  • Any required onboarding information

Work will only begin after written approval and payment of any required deposits.

4. Payments & Billing

  • All pricing will be provided upfront.

  • A non-refundable deposit (typically 30–50%) may be required before work starts.

  • Invoices must be paid by the due date stated on the invoice.

  • Late payments may delay project timelines.

  • Monthly subscriptions renew automatically unless cancelled with notice (see Section 10).

5. Refunds & Cancellations

Due to the nature of our services, all completed work, deposits, and labour spent are non-refundable.
If a project is cancelled by the client before completion, payment for all work carried out up to that point will still be due.

Mikuno reserves the right to cancel any project or service if:

  • The client breaches these Terms

  • The client becomes unresponsive

  • The project becomes unmanageable or outside our scope

Where applicable, a refund may be issued for any unused portion of prepaid services.

6. Client Responsibilities

Clients must provide:

  • Accurate information and instructions

  • Access to required accounts or systems

  • Timely feedback and approvals

Delays in feedback may result in project delays.

7. Use of Freelancers & Third Parties

Mikuno may engage vetted freelancers, developers, designers, assistants, analysts, or other specialists to carry out work on a client’s behalf.
All work remains managed and quality-checked by Mikuno.

We are not responsible for delays caused by third-party tools, platforms, APIs, or hosting providers.

8. Intellectual Property

  • All final deliverables become the client’s property once the project is paid in full.

  • Mikuno retains the right to showcase non-confidential work in our portfolio, unless the client requests otherwise in writing.

  • Drafts, internal documents, frameworks, and processes remain the intellectual property of Mikuno.

9. Confidentiality

Both Mikuno and the client agree to keep all sensitive information confidential, including business data, credentials, documents, and internal materials.

 

10. Subscriptions & Ongoing Services

For monthly services (e.g., social media management, VA support, marketing retainers):

  • A minimum term may apply

  • 30 days’ notice is required for cancellation

  • Work will pause if invoices are unpaid

11. Project Timelines

Estimated timelines are provided at the start of the project.
Timelines may change based on:

  • Client responsiveness

  • Project scope changes

  • Technical issues on third-party platforms

12. Revisions

The number of revisions included will be stated in each package. Additional revision requests may incur extra charges.

13. Liability

Mikuno is not liable for:

  • Loss of revenue, profits, or data

  • Delays caused by external platforms

  • Outcomes dependent on algorithms, market conditions, or client instructions

Our liability is limited to the amount paid by the client for the specific service.

14. Use of the Website

Users must not:

  • Misuse the website

  • Attempt to extract data or interfere with operations

  • Use content without permission

Mikuno may update or change website content at any time.

15. Governing Law

These Terms are governed by the laws of the United Kingdom. Any disputes shall be resolved under UK jurisdiction.
